Board of Directors

Sinyi Development is a 100% invested subsidiary of Sinyi Realty, and the appointment or selection of its three directors is authorized by the Board of Directors of the parent company and carried out by the Chairman. Each director´s term is set for three years, and the appointment is subject to approval by the most recent board meeting. The detailed introduction of each director is as follows:

Operations and Sustainability Responsibilities:

  1.  Execute significant resolutions of the Board of Directors, review corporate management performance, and provide guidance to managers at the executive level.

  2. Engage in the formulation of critical strategic initiatives and key events at Sinyi Development.

  3. Lead Sinyi Development towards achieving the 2050 net-zero emissions target

Board´s Oversight of Operational

The Board of Directors serves as the highest governance and risk management body. In addition to executing business in accordance with laws, regulations and shareholder resolutions, the Board must approve strategic plans, annual and quarterly financial reports, assessments of the effectiveness of internal control systems, and appointments or dismissals of CPAs and executives.

Sustainability Issue Mechanism

Through regular and ad hoc meetings, the Board of Directors reviews and evaluates action strategies and risk management measures related to operational and sustainability issues (such as environmental protection, social responsibility and corporate governance). This oversight ensures the adequacy of reports, identifies execution obstacles and performance outcomes, and effectively supervises progress and resource allocation. The Board delegates authority to the General Manager and Executive Team to handle operational matters (including dealings with suppliers) and sustainability-related issues. They develop and promote climate change actions, strategies and risk management measures, confirm short-term, mid-term and long-term plans, manage performance assessments and regularly or as needed report significant issues to the Board. Relevant decisions are documented in meeting minutes and followed up accordingly for further supervision.

Organization Structure

The Sinyi Group includes brokerage, development, tourism, culture and charity businesses. Our company belongs to the development business group and is a wholly-owned subsidiary of the parent company, Sinyi Realty.

The General Manager of the Development and Construction Business Group is also the General Manager and Director of the Company. The Company also has a Vice General Manager to assist in the overall operational planning, leadership and execution, supervision and coordination of the execution of each department, and the Group's Chief Financial Officer, Chief Human Resources Officer and Chief Auditor take on supporting and supervisory roles.

The company has established sustainability, construction, sales and human resources departments to ensure operations and regularly report to its parent company, Sinyi Group. It also communicates with the various business groups of the Sinyi Group from time to time.

Company Organization Structure

Senior Management Team

Sinyi Development has a senior management team consisting of a general manager and a vice general manager, who are responsible for business and supervision according to the company's internal operating procedures. Sustainability-related issues are gradually linked to the company's operations and are reported to the Sinyi Development Board of Directors at least once a month. The progress and performance results of sustainability-related issues are also reported to the Sinyi Development Board of Directors at least once a month. In addition, review meetings are held at the Sinyi Group every year and every quarter to report on operations and sustainability-related issues.

In accordance with the Sinyi Group's remuneration policy and its decision-making process, operating conditions, progress on sustainability-related issues, and performance results are linked to the level of vice president and above, and are combined with annual case performance bonuses.

The responsibilities of senior management team members in operations and sustainability-related issues are as follows:

General Manager
  1. Responsible for the overall operational planning, leadership and execution of Sinyi Development, and supervising and driving the business operations of each department.

  2. Promote “Sustainable Buildings" to foster environmental sustainability, and supervise the incorporation of appropriate green building and carbon footprint indicators in each project with considerations of land location, surrounding environment, area size, building design, construction materials and techniques.

  3. Implement measures such as temporary water and electricity installations, waste sorting, dust control, and noise management to minimize the impact on the surrounding environment and residents, in line with ESG goals.

Company Department

Sinyi Development's above-mentioned departments carry out operational activities in accordance with the business content and operating procedures stipulated in their internal operating procedures, and report to the members of the Sinyi Development Board of Directors at least once a month. They will also report on operational business and ESG-related issues at the annual and quarterly review meetings held by Sinyi Group.

Environmental protection, social responsibility and corporate governance issues have gradually been linked to the company's business operations. Therefore, the monthly regular meetings are held to report to the board of directors and performance reports in written and oral form.

Human Resources Department

Job scope: Human resources

Organizational responsibilities: In addition to promoting the company's cultural philosophy and establishing a talent system that conforms to the corporate culture, it also includes various logistical work to support business activities, such as administration, general affairs, legal affairs, information and group correspondence windows.

Note: The Company has completed the adjustment of its departmental composition in September 2023.
